DIVIDEND GROWTH PORTFOLIO

The Dividend Growth Portfolio's investment objectives are to seek long-term capital appreciation and current income. Under normal market conditions, the Dividend Growth Portfolio's target allocation is 90% dividend-paying equity securities. Up to 10% of the Portfolio's net assets may be invested in other strategies, including fixed income securities (which include high-yield or "junk" bonds) and option strategies to hedge risk for the overall portfolio or for individual securities held.

The Dividend Growth Portfolio uses quantitative computer screening of fundamental stock information to evaluate domestic and foreign securities in an attempt to find the best value and dividend opportunities worldwide. Once securities are identified, an overlay of technical analysis confirms timeliness of security purchases using a combination of price regression and momentum factors. WBI Investments' buy discipline systematically adds qualifying securities within the Portfolio's target allocations using available cash.

Once securities are purchased, the WBI Investments maintains a strict sell discipline with a dynamic stop loss and goal setting process that attempts to control the effects of the volatility of each invested position on the Dividend Growth Portfolio's value. If a security stays within its acceptable price channel, WBI Investments will continue to hold it in the Portfolio. If the security moves outside the acceptable price channel, a stop is triggered and the security will be sold. This results in a responsive process that actively adjusts the Portfolio's allocation by causing it to become more fully invested or by raising cash to protect capital.

At the discretion of the WBI Investments, the Portfolio may invest its assets in cash, cash equivalents, and high-quality, short-term debt securities and money market instruments for temporary defensive purposes in response to adverse market, economic or political conditions.

Gary E. Stroik, Vice President, Chief Investment Officer, Chief Compliance Officer and Lead Portfolio Manager

Mr. Stroik joined WBI Investments, Inc. (then known as Wealth Builders) in February 1990, serving as Vice President, Chief Investment Officer and Chief Compliance Officer. He also serves as Vice President and Chief Compliance Officer of Hartshorne Group, Inc., a registered investment advisory firm, since January 2010. He received a B.A. in Honors English and Fine Arts from Georgetown University in 1976.

Donald R. Schreiber, Jr., President, Chief Executive Officer and Co-Portfolio Manager

Mr. Schreiber founded WBI Investments, Inc. (then known as Wealth Builders) in August 1984, serving as President and Chief Executive Officer. He also serves as President of Hartshorne Group, Inc., an SEC-registered investment advisory firm, since January 2010 and as President of Advisor Toolbox, Inc., a financial services technology and business consulting firm, since July 2005. He received a B.S. in Business from Susquehanna University in 1977.
